Capital Design and Construction will carry out the works described in the accepted quotation, contract, plans and specifications using reasonable skill, care and workmanship in accordance with applicable Australian Standards and relevant legislation.
Where building approvals, development approvals, engineering, certifications or authority approvals are required, Capital Design and Construction will provide reasonable assistance where included within the agreed scope of works. However, the Company does not warrant or guarantee that any approval will be granted or that the original design or proposal will be approved without amendment. Any design or construction changes required by regulatory authorities shall be treated as a variation where applicable.
The Client is responsible for:
Unless otherwise stated within the Contract, payments shall be made as follows:
All invoices are payable within seven (7) days of the invoice date unless otherwise agreed in writing.
Progress claims may be issued upon completion of nominated construction stages. Failure to make payment by the due date may result in suspension of works until payment has been received.
Any variation requested by the Client, or required due to unforeseen site conditions, authority requirements, engineering advice, supplier availability or changes to the scope of works, must be approved by the Client and may result in:
Verbal instructions may be confirmed in writing and treated as approved variations where work has commenced.
Capital Design and Construction shall not be liable for delays caused by circumstances beyond its reasonable control, including but not limited to:
Any such delays may entitle the Company to an extension of time.
Should the Client suspend or terminate the project after commencement, the Client agrees to pay for:
Documentation, certificates and warranties will only be released once all outstanding amounts have been paid.
Any work outside the original Contract or accepted quotation shall be treated as a variation and charged at the Company's applicable rates unless otherwise agreed in writing.
Engineering reports, surveying, soil testing, certification, energy assessments, specialist consultants and similar third-party services are excluded unless specifically included within the quotation and will be charged separately.
The quoted price is based upon the site conditions visible or disclosed at the time of quotation. Hidden structural defects, latent conditions, rock excavation, contaminated materials, asbestos, concealed services or other unforeseen conditions may result in additional costs.
Practical Completion is deemed to occur when the works are substantially complete and capable of being occupied or used for their intended purpose, notwithstanding minor defects or outstanding items that do not prevent normal use.
Capital Design and Construction will rectify defects arising from faulty workmanship or materials within the applicable defects liability period, subject to fair wear and tear, misuse, lack of maintenance, movement of the building, or damage caused by others.
Ownership of all materials, fixtures, fittings, manufactured items and joinery supplied by Capital Design and Construction remains with the Company until payment has been received in full.
Late payments may incur interest and administration charges as permitted under applicable legislation. Outstanding accounts may be referred to a debt collection agency, with all reasonable recovery costs payable by the Client.
This Contract is governed by the applicable Building and Construction Industry Security of Payment legislation in the relevant State or Territory, and payment claims may be issued under that legislation where applicable.
Capital Design and Construction maintains a Zero Tolerance Policy regarding harassment, intimidation, abusive language, discrimination or threatening behaviour directed towards its employees, subcontractors, consultants or suppliers.
The Company reserves the right to suspend or terminate works where such behaviour occurs, without prejudice to its right to recover payment for work completed.
All drawings, concepts, shop drawings, specifications, schedules, estimates and associated documentation remain the intellectual property of Capital Design and Construction until payment has been received in full.
Manufacturer warranties apply only to products supplied by the respective manufacturers. Capital Design and Construction provides statutory warranties in accordance with applicable building legislation.
The accepted quotation, these Terms and Conditions, approved plans, specifications and any approved variations constitute the entire agreement between the Client and Capital Design and Construction.
By accepting the quotation or instructing Capital Design and Construction to proceed, the Client acknowledges that they have read, understood and accepted these Terms and Conditions.
• Capital Design and Construction ensures that we will do all that is required to obtain approval from a certifying authority to assist in obtaining approval of the plans. However we do not ensure that approval will be obtained with the initial concept that you desire and that changes may need to be made in order for it to meet government standards and approval standards
• In the event that the work is to be ceased by the client then the remaining balance is to be paid in full to cover work that has been completed to date or a lesser amount as authorized by Linea Verde Design. In this event once payment has been received plans completed to date will be released.
• Payments will be made in interval payments with the first payment of 30% of the total quote to be made prior to commencement of work, second payment of 50% of the balance to be made prior commencement of the elevations and final balance to be made upon completion of the final package prior to the full final package being released.
• Please be advised that plans of the relevant stage will only be released once payment has been received
• During the design/documentation/approval stages there may be additional documents/reports which may need to be completed/ordered, these items fall outside the original quote and shall require their own quote
• No external report shall be ordered without receiving full payment prior to the report being ordered
• Should additional work be required after the final plans have been issued this will incur an additional fee which is based on the work completed
• The signed contract expires after 2 year/s. Any further works after this period will be subject to a new contract and new quote.
• All fees are to be paid within 7 days of invoice issue date, unless otherwise stipulated and prior to any plans on that stage being released.
• Late payments may incur an administration fee of 25% interest fee of the balance and
may be subject to Debt Collection which will incur additional debt recovery fees as specified by the collection agency used.
• The contract is made under the Building and Construction Industry Security of Payments Act 1999 (as amended), any Invoice issued is issued under this Act whether stated or not.
• No refunds are given under any circumstances unless agreed upon by Linea Verde Design Management
• You also confirm that this agreement has been freely agreed to and understand our roles and responsibilities,
• It is the responsibility of the owner/client to notify Linea Verde Design of any unapproved work, structures or elements that may affect the design/certification/proposal
• We have adapted a “ZERO TOLERANCE” to any types of Harassment and/or Intimidation or any other types of Threatening behavior, whether it occurs Directly or Indirectly, for example person to person, over the phone or Internet.
• Whilst we understand undergoing the process of Building and obtaining the required Building Approval can be frustrating, this does not give an exemption to an Applicant/Owner or any person acting (with or without permission or consent), for the Applicant/Owner to Harass, Intimidate or otherwise act in a threatening manner to any person acting for and on behalf of “Linea Verde Design”.
• If at any time, any person acting for or on behalf of “Linea Verde Design” and extending to any primary or subsidiary Business, Company, and/or persons directly or indirectly acting for and on behalf of any of the aforementioned entities, are subject to any forms of Harassment, Intimidation or otherwise any act perceived by the person as being threatening, we will discontinue our services and our agreement will be terminated.
• I/we understand that any work outside of the original quote may result in a new quote for the new work to be completed.
• I/we authorise Linea Verde Design to act on our behalf to obtain information from third parties pertaining to our plans and to discuss with third parties any details required to complete our plans.
